I'm relatively sure there will be tabs and other problematic areas between the two frames that will be different enough to cause some problems, but I doubt that any of them are insurmountable. I'd do it in a heartbeat and just juggle the parts and mods you might have to do to get the whole package to work to your satisfaction. Depend on what state you're in, you might have problems with the licensing of the bike because the 300 won't show as a manufactured-for-street-use model.

I was going to have the frame re titled for my vin. I live in Colorado so I am pretty sure its possible. I am just worried the swing arm is long on the 300 and ill have to get a different chain or something.

A new chain should be the least of your worries. Honestly, I think the old chain will fit, but even if it doesn't I'm sure it wouldn't hurt to put a new one on. Chains aren't free, but this will still be a cheap way to get back on two wheels.
I could see things like TNC mentioned giving you more trouble. You may have to fabricate some tabs here or there for mounting things like the gas tank, radiators, etc. It may all bolt right up, but, I think that is where the bike has changed more than anywhere. I would definitely say it's doable.
